What is a giveaway?

By hitting your weekly Paceline eHR milestone goals, you can spend your accumulated Pacepoints on entries to Giveaways. By entering into a Giveaway, you could have the chance to win gift cards, exclusive product gift bundles, high-end exercise and recovery equipment, and more! With the amazing assistance from our various brand partners, we've been able to start giving away higher-value rewards and prizes to some of our Pacers. We still have plenty on our rewards roadmap that we hope will continue to motivate our Pacers to stay physically active, and we can't wait to show you what else we have in store! 

What is a Mystery Gift?

One of Paceline's newest reward offerings you'll see within the app is a Mystery Gift. A Mystery Gift is a randomly generated reward among a pool of eligible rewards, such as a $10.00 Paceline Marketplace Gift Code or a $100.00 Amazon Gift Card. The probabilities of each reward are different, but a reward is guaranteed with every claim.

How does it work?

Upon hitting your weekly eHR milestone goals, there may be a reward option available to you where you can claim a Mystery Gift or one (1) entry into a free giveaway with one of our reward partners. These weekly reward offerings are specifically indicated by related imaging, similar to the example below:

The (1) date of eligibility to enter the giveaway or Mystery Gift, (2) product(s) being given away or available to win, (3) number of winners if applicable, and (4) any restrictions or important details will all be specified within the reward page in the Paceline app. You do not need to make a purchase on the specific reward partner's website to be eligible for the giveaway, nor will it increase your chances of winning. 

The winner(s) of the giveaway will be randomly selected from eligible entries received after the date of entry has expired. The winner(s) of the specific giveaway will be announced on the Paceline Instagram page (https://www.instagram.com/paceline.fit/), though we will also be sending each randomly-selected winner a direct email with a confirmation of their winning. You must claim this reward option in the Paceline app or via AMOE entry to be eligible to win the giveaway or Mystery Gift. Claiming this reward to be entered into a giveaway or Mystery Gift will not guarantee you the product(s) being given away at random.

Overview.

TAM(Squared) Inc. doing business as Paceline (“Sponsor”) hosts prize giveaways (“Giveaways” or "Mystery Gifts") from time to time through its Paceline mobile application (the “Mobile Application”).  Please visit the rewards tab in your Mobile Application for a list of current Giveaways or Mystery Gifts including dates, prizes, details on how to enter, and restrictions (“Giveaway Details” and "Mystery Gift Details").  It is your responsibility to read the details of any particular Giveaway and Mystery Gift and determine whether you want to and are eligible to participate.  By participating in any Giveaway or Mystery Gift, you agree to be subject to these Official Rules and any additional Giveaway or Mystery Gift-specific rules listed in the Giveaway and Mystery Gift Details and you agree to comply with and abide by such rules.

Eligibility.

Giveaways and Mystery Gifts are only open to legal residents of the United States and the District of Columbia who are 18 years of age, or the age of majority in their state of residence, whichever is older, who have a registered Paceline account and have downloaded the Mobile Application.  Visit https://paceline.fit to create a free Paceline account and download the Mobile Application.  In order to create an account and use the Mobile Application you must agree to Sponsor’s Terms of Service at https://paceline.fit/terms/. 

Employees of Sponsor and its parent companies, affiliates, subsidiaries, divisions, and advertising and promotion agencies, and their immediate families and household members are not eligible to enter or win.  For purposes of Giveaways, “immediate families” means parents, grandparents, children, grandchildren, siblings, and those living in the same household.

How to Enter.

Giveaways and Mystery Gifts can be entered through the Mobile Application (“App Entry”).  Giveaway and Mystery Gift Details, including how to enter, will be provided on the rewards tab of the Mobile Application.

Alternate Method of Entry: For some Giveaways or Mystery Gifts, Entrants may also enter by mailing a postcard with their name, mailing address, date of birth, phone number, and e-mail address to Paceline at 595 Pacific Ave Floor 5, San Francisco, CA 94133

 (an “AMOE Entry” and together with App Entries “Entries”).  Please check the Giveaway and Mystery Gift Details to determine whether there is an AMOE Entry option for any particular Giveaway or Mystery Gift.

The maximum number of entries available in a Giveaway, as provided in the Giveaway Details, will apply equally to App Entries and AMOE Entries.

Entries that are lost, late, misdirected, illegible, incompletely received, or incomplete, for any reason, will not be eligible and are not the responsibility of the Sponsor.  Proof of sending will not be deemed to be proof of receipt.  All entries become the property of Sponsor.  In the event of a dispute over the identity of a potential winner, the winning entry will be declared made by the authorized account holder of the e-mail address used to create the Paceline account, and any potential winner may be required to provide evidence sufficient to show that he/she is the authorized account holder of that e-mail address.

Prizes.

The type, number, and approximate retail value of the prizes for each Giveaway and Mystery Gift will be listed in the Giveaway and Mystery Gift Details.  

Prizes will be delivered only to verified winners.  There is no substitution for a prize or any portion of the prize.  Prizes are not transferable, except in the sole discretion of Sponsor.  All prize details are at Sponsor’s sole discretion.  Incidental expenses and all other costs and expenses which are not specifically listed as part of a prize in the Giveaway and Mystery Gift Details and which may be associated with the award, acceptance, receipt, and use of all or any portion of the awarded prize are solely the responsibility of the winner.

All federal, state, and local taxes associated with the receipt or use of any prize are solely the responsibility of the winner, and winners shall be responsible for making any tax filings relating to the award of a prize that may be required under applicable law.  Any entrant who wins $600 or more worth of prizes from Sponsor in a calendar year will receive an Internal Revenue Service (“IRS”) form 1099 after the end of the calendar year in which the prizes were awarded and copy of such form will be filed with the IRS.

Selection and Notification of Winners.

Between three (3) and five (5) business days after the close of a Giveaway or Mystery Gift, winners will be selected through a random drawing of all eligible entrants received in that Giveaway or Mystery Gift.  All decisions of Sponsor are final and binding on all entrants.

Potential winners will be notified via e-mail at the e-mail address provided when registering for the Mobile Application for App Entries or used to submit the AMOE Entry.  Entrants should keep their e-mail address in the Mobile Application up to date.  Upon the request of the Sponsor, a potential winner may also be required to return a Declaration of Eligibility, Publicity and Liability Release and Prize Acceptance Form (except where prohibited by law), and IRS W-9 form (“Prize Documentation).  If a potential winner does not respond within fourteen (14) days of the date appearing on the prize notification or fails to comply with the instructions contained in the prize notification or provide the Prize Documentation within that time period, Sponsor reserves the right to choose an alternate winner based on a random drawing of the remaining eligible entries in that Giveaway or Mystery Gift.  Return of any prize notification as undeliverable will result in disqualification and selection of an alternate winner.  Winners may be required to provide evidence of identity satisfactory to Sponsor in connection with claiming a prize.  No person shall be confirmed as a winner until such person has complied with all the requirements of these Official Rules.

Applicable Law and Jurisdiction. 

Giveaways and Mystery Gifts are void where prohibited.  Giveaways and Mystery Gifts are subject to all applicable federal, state, and local laws and regulations.  Any dispute arising out of a Giveaway and Mystery Gifts or a prize shall be governed by the laws of the State of California, without regard to its choice law principles, and shall be subject to the exclusive jurisdiction of the state and federal courts in the State of California.  Entrants consent to the personal jurisdiction of said courts.  Except where prohibited by law, as a condition of participating in Giveaways and Mystery Gifts, entrants agree that any and all disputes and causes of action arising out of or connected with Giveaways and Mystery Gifts, or prize awarded, shall be resolved individually, without resort to any form of class action.  TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EACH ENTRANT HEREBY WAIVES ALL RIGHTS TO CLAIM PUNITIVE, INCIDENTAL, AND CONSEQUENTIAL DAMAGES AND ANY OTHER DAMAGES, OTHER THAN FOR ACTUAL OUT-OF-POCKET EXPENSES, AND ANY AND ALL RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU.

Waivers and Releases.

By entering, entrants agree: (a) to be bound by these Official Rules and the decisions of Sponsor, which are final and binding; (b) to waive any right to claim ambiguity in Giveaways, Mystery Gifts, or these Official Rules; (c) that they may be contacted in person, by phone, or by e-mail, with respect to Giveaways and Mystery Gifts; (d) that Sponsor, its parent companies, affiliates, subsidiaries, divisions, and advertising and promotion agencies, and their respective officers, directors, shareholders, and employees (collectively "Releasees") are not responsible for lost, damaged, or misplaced entries, incorrect or inaccurate transcription of entry information, or for any human or other error, technical malfunction, lost/delayed data transmission, omission, interruption, deletion, defect, line failures of any telephone network, computer equipment, software, inability to access any online service or web site, or any other error or malfunction, or any injury or damage to entrant’s or any other person's computer related to or resulting from participation in Giveaways and Mystery Gifts, or for any injury to person or property; and (e) that the Releasees will not be liable for losses or injuries of any kind resulting from acceptance/possession/use and/or misuse of a prize, travel to and from any prize-related activity, participation in Giveaways or Mystery Gifts, or printing, mailing or distribution errors. Each winner further acknowledges that Sponsor does not make any warranties, express or implied, relating to a prize itself and that Sponsor expressly disclaims the implied warranties or merchantability and fitness for a particular use.

Publicity.

Unless prohibited by law, entry into a Giveaway or Mystery Gift constitutes permission for the Releasees to use that entrant’s name, address (city and state), and/or likeness for advertising and trade purposes without further compensation or right of review or approval, worldwide and in perpetuity, in any and all forms of media, now known and hereafter devised, including without limitation the Internet.

Additional Restrictions.

If for any reason a Giveaway or Mystery Gift is not capable of being executed as planned, or tampering, unauthorized intervention, fraud, technical failures or any other causes beyond the control of Sponsor corrupt or affect the administration, security, fairness, integrity or proper conduct of Giveaways or Mystery Gift, Sponsor reserves the right, at its sole discretion, to disqualify any suspect entry and to cancel, terminate, modify or suspend a Giveaway or Mystery Gift and/or award the Prizes from among all eligible, non-suspect entries received as of the date of the termination, as Sponsor determines in its sole discretion.  Entries not complying with these Official Rules are subject to disqualification. 

Data Privacy.

Entrants agree that their personal data, including name, e-mail address, phone number, and physical address, may be processed, stored and otherwise used for the purposes and within the context of Giveaways or Mystery Gifts and for any of the purposes set forth in Sponsor’s Privacy Policy at https://paceline.fit/privacy/.  By participating in Giveaways or Mystery Gifts, entrants are agreeing to Sponsor’s Privacy Policy.  Without limiting the foregoing, such data may also be used by the Sponsor in order to contact the winners, check an entrant’s identity and contact information, or to otherwise verify an entrant’s eligibility to participate in Giveaways or Mystery Gifts or to receive any prize.  

Severability.

If any provision(s) of these Official Rules are held to be invalid or unenforceable, all remaining provisions hereof will remain in full force and effect.

Trademarks.

Trademarks referenced herein are owned by their respective companies and do not imply or suggest that such companies endorse or support Giveaways or Mystery Gifts.

To Receive Winner Name or Official Rules.

Winners of each Giveaway or Mystery Gift will be announced in the Mobile Application.  To request the name of a winner (available at least seven (7) days after the close of a Giveaway or Mystery Gift) or a copy of these Official Rules, please visit help.paceline.fit and log a request.
